Prototype Addendum

This Prototype Addendum (this “Addendum”) is between you or the entity you represent (“You”) and Doxy.me Inc. (“Doxy.me,” “we,” or “us”) and governs Your access to and use of Doxy.me prototype, alpha, beta, experimental, preview, pilot, evaluation, early access, or similar features, products, or services (“Prototype Services”).

1. Agreement; Incorporation; Conflicts

This Addendum incorporates by reference either (a) Doxy.me’s then-current Terms of Service located at https://doxy.me/en/terms-of-service/ (“Terms”) or (b) if You and Doxy.me have executed a master services agreement or similar agreement (“MSA”), then the MSA governs as the “Agreement” for purposes of this Addendum.

This Addendum supplements the Agreement solely for Prototype Services. If there is a conflict, this Addendum controls for Prototype Services.

If You are subject to an MSA that excludes clickwrap or online terms, You may not use the Prototype Services unless Doxy.me has expressly authorized such use in a written amendment, order form, or addendum signed by both parties.

IF YOU ARE SUBJECT TO AN MSA AND THE PROTOTYPE SERVICES ARE INCOMPATIBLE WITH, DO NOT MEET, OR DO NOT SUPPORT YOUR REQUIREMENTS UNDER THAT MSA (INCLUDING ANY SECURITY, PRIVACY, COMPLIANCE, SERVICE LEVEL, SUPPORT, AUDIT, UPTIME, WARRANTY, OR PERFORMANCE REQUIREMENTS), YOU MUST NOT USE THE PROTOTYPE SERVICES.

2. Prototype Nature; Limited Pilot Use Only

Prototype Services are pre-release and experimental, may be incomplete, unreliable, or changed without notice, and are provided solely for evaluation and limited pilot use. Prototype Services are not intended for routine clinical operations or high-volume use, including use across a clinic, department, or organization where the Prototype Services are relied upon for workflow continuity, patient throughput, or ongoing care delivery.

Limited use (including use with a small number of providers and/or a limited number of patients) may be permitted for evaluation purposes.

Prototype Services are not subject to any service level commitments, support obligations, uptime commitments, availability guarantees, or security commitments (including any security controls, certifications, audit rights, or compliance requirements) unless expressly agreed by Doxy.me in writing.

Doxy.me may monitor and log use of the Prototype Services to operate, secure, support, and improve them.

Doxy.me may modify, suspend, discontinue, or remove Prototype Services (in whole or part) at any time, with or without notice.

3. Data Retention; Backup Responsibility

You are solely responsible for retaining and backing up any data, records, transcripts, summaries, files, or other information you submit to or receive from Prototype Services. Prototype Services may experience data loss, and Doxy.me may delete data at any time in its discretion.

4. Healthcare / PHI / BAA Requirement

You may not use Prototype Services to create, receive, maintain, transmit, or otherwise process Protected Health Information (“PHI”) unless You have a Business Associate Agreement (“BAA”) in place with Doxy.me covering such use. Prototype Services do not expand or modify any BAA unless expressly agreed in writing by Doxy.me.

Public statements, website materials, and documentation regarding Doxy.me’s products (including statements regarding data retention or PHI storage (including “no PHI storage” statements)) may not apply to Prototype Services. You should not rely on any such statements for Prototype Services unless Doxy.me has expressly confirmed them in writing for the applicable Prototype Services.

You are solely responsible for obtaining all required patient, participant, and staff notices and consents (including for recording and transcription) and for complying with all applicable laws.

5. “As-Is”; No Warranties

PROTOTYPE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

Doxy.me disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. You are solely responsible for reviewing and validating any outputs before use or reliance.

Prototype Services are not intended to provide medical advice or clinical decision support, and You are solely responsible for clinical judgment and patient care decisions.

6. Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT (INCLUDING ANY MSA), DOXY.ME WILL HAVE NO LIABILITY ARISING OUT OF OR RELATING TO THE PROTOTYPE SERVICES OR THIS ADDENDUM, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), AND REGARDLESS OF ANY DAMAGES CAP OR LIMITATION OF LIABILITY SET FORTH IN THE AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOXY.ME WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THE PROTOTYPE SERVICES, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF DOXY.ME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU ACCESS AND USE THE PROTOTYPE SERVICES ENTIRELY AT YOUR OWN RISK.
