Enhanced Services Terms of Service

This Enhanced Services Terms of Service Addendum (this "Addendum") is a binding contract between you or the entity you represent ("Doxy.me," "You," or "Your") and ("Doxy.me,” "we," or "us"). This Addendum governs Your access to and use of the Enhanced Applications. This Addendum incorporates by reference the then-current Terms of Service located at https://doxy.me/en/terms-of-service/ (“Terms of Service”). Any terms not otherwise defined shall have the same meaning as in the Terms of Service. In the event of a conflict with the Terms of Service and this Addendum regarding the subject matter herein, this Addendum shall govern.
THIS ADDENDUM TAKES EFFECT AT THE EARLIEST OF WHEN YOU CLICK THE "I ACCEPT” BUTTON, OR EXECUTE AN ORDER THAT INCORPORATES THIS ADDENDUM BY REFERENCE, OR ACCESS OR USE AN ENHANCED APPLICATION (the "Effective Date"). BY CLICKING ON THE "I ACCEPT" BUTTON, OR EXECUTING AN ORDER THAT INCORPORATES THIS ADDENDUM BY REFERENCE, OR ACCESSING OR USING AN ENHANCED APPLICATION YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS ADDENDUM; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS ADDENDUM AND IF ENTERING INTO THIS ADDENDUM FOR AN ENTITY, THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ENTITY; AND (C) ACCEPT THIS ADDENDUM ON YOUR BEHALF OR ON BEHALF OF THE ENTITY YOU REPRESENT IF YOU ARE ENTERING INTO THIS ADDENDUM FOR AN ENTITY AND AGREE THAT YOU OR SUCH ENTITY, AS APPLICABLE, ARE LEGALLY BOUND BY ITS TERMS.

1. Definitions
"AI Technology" means any and all machine learning, deep learning, and other artificial intelligence technologies, including statistical learning algorithms, models (including large language models), neural networks, and other artificial intelligence tools or methodologies, all software implementations of any of the foregoing, and related hardware or equipment capable of generating various types of content (including text, images, video, audio, or computer code) based on user-supplied prompts.
"Provider Data" means Provider Input and Provider Output/information, data, and other content, in any form or medium, that is submitted, entered, posted, or otherwise transmitted by or on behalf of You or any other user through the Services, and any outputs based thereon or derived therefrom, including Provider Input and Provider Output.
"Provider Input" means information, data, materials, text, prompts, images, audio, video, works, code, or other content that is input, entered, posted, uploaded, submitted, transferred, or otherwise transmitted by or on behalf of You or any other user through the Services.
"Provider Output" means information, data, materials, text, images, audio, video, code, works, or other content generated by or otherwise output from the Services in response to an Provider Input.
"Order" means an ordering document or online order entered into between You and us that references this Addendum and describes the Services You are subscribing to.
"Process" means to take any action or perform any operation or set of operations that the Services are capable of taking or performing on any data, information, or other content, including to collect, receive, input, upload, download, record, reproduce, store, organize, combine, log, catalog, cross-reference, manage, maintain, copy, adapt, alter, translate, or make other improvements or derivative works, process, weigh, perform statistical analysis, retrieve, output, consult, use, perform, display, disseminate, transmit, submit, post, transfer, disclose, or otherwise provide or make available, or block, erase, or destroy. "Processing" and "Processed" have correlative meanings.
"Doxy.me IP" means the Services, the documentation, and all intellectual property provided to You or any other user in connection with the foregoing. For the avoidance of doubt, Doxy.me IP includes and any information, data, or other content derived from Doxy.me's monitoring of Your access to or use of the Services, but does not include Provider Data. Doxy.me IP includes all modifications, enhancements, refinements, adaptations, customizations, improvements, and derivative works of the Services.
"Enhanced Application" means any Doxy.me application, service, or product provided or made available to You that is designated by Doxy.me as subject to this Addendum at the time of installation, activation, or acceptance, and which may include advanced capabilities such as transcription, recording, summarization, analytics, content generation, or similar enhanced functionalities powered by automated or advanced technologies, including AI Technology.
"Services" means the services provided by Doxy.me under this Addendum and the Terms of Service and reflected on the Order and, for purposes of this Addendum, include Enhanced Applications.
"Third-Party Products" means any products, technology, content, data, services, information, websites, or other materials that are owned by third parties and are included in, incorporated into, or accessible through the Services, including any third-party AI Technology.
"Training Data" means any and all information, data, materials, text, prompts, images, code, and other content that is used by or on behalf of Doxy.me to train, validate, test, retrain, or improve any AI Technology incorporated into or used with, in connection with, or in support of, the Services.
2. Access and use
(a) Provision of Access. Subject to and conditioned on Your payment of Fees and compliance with all other/the terms and conditions of this Addendum, Doxy.me hereby grants You a non-exclusive, non-transferable right to access and use an Enhanced Application as part Your use of the Services, solely for Your internal business operations by users under these terms and conditions.
(b) Use Restrictions. You shall not use the Services for any purposes beyond the scope of the access granted in this Addendum. You shall not at any time, directly or indirectly, and shall not permit any users to (i) copy, modify, or create derivative works of the Services, in whole or in part in accordance with this Addendum and any applicable documentation provided by Doxy.me; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or an Enhanced Application; (iii) reverse engineer, disassemble, decompile, decode, or duplicate the Services, reproduce Training Data other than Provider Data, engage in model extraction, or otherwise attempt to derive or gain access to any source code, algorithm, model, model weights and parameters, or other underlying AI Technology or component of the Services, in whole or in part; (iv) access or use the Services or any Provider Output to develop, train, or improve any other AI Technology or a competing or similar product or service; (v) use web scraping, web harvesting, web data extraction or any other method to extract data from the Services, Enhanced Application or any Provider Output; or (vi) remove any proprietary notices from the Services; (vii) use the Services to create or generate Provider Output, or use Provider Output in a manner, that You know or should know infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law, regulation, or rule.
(c) Reservation of Rights. Doxy.me reserves all rights not expressly granted to You in this Addendum. Except for the limited rights and licenses expressly granted under this Addendum, nothing in this Addendum grants, by implication, waiver, estoppel, or otherwise, to You or any third party, any intellectual property rights or other right, title, or interest in or to the Doxy.me IP.
(d) Suspension. Doxy.me may temporarily suspend access to any portion or all of the Services if (i) Doxy.me reasonably determines that (A) there is a threat or attack on any of the Doxy.me IP; (B) Your or any other user’s use of the Services disrupts or poses a security risk affecting Doxy.me; (C) You or any other user is engaged in fraudulent or illegal activities; (D) You have ceased Your operations or made an assignment for the benefit of creditors, or become the subject of any bankruptcy or similar proceeding; (E) Doxy.me's provision of the Services to You or any other user is prohibited by applicable law; or (F) You are using the Services in violation of this Addendum; (ii) any vendor of Doxy.me has suspended or terminated Doxy.me's access to or use of any third-party services or products required to enable You to access and use the Services (any such suspension described in subclause (i) or(ii), a "Service Suspension"). Doxy.me shall use reasonable efforts to provide You notice of any Service Suspension. Doxy.me shall use reasonable efforts to resume providing access to the Services as soon as reasonably possible. Doxy.me will have no liability for any damage, liabilities, losses (including any loss of data or profits), or any other consequences that You or any other user may incur as a result of a Service Suspension.
3. Your Responsibilities
(a) Acceptable Use Policy; Doxy.me Policies. The Services may not be used for unlawful, fraudulent, offensive, or obscene activity, as further described and set out in Doxy.me's acceptable use policy ("AUP") located at http://doxy.me/en/acceptable-use/, as may be amended from time to time, which is hereby incorporated herein by reference. You shall comply with all terms and conditions of this Addendum, all applicable laws, rules, and regulations, and all guidelines, standards, requirements, and policies that may be posted on https://doxy.me/en/terms-of-service/ from time to time, which are hereby incorporated herein by reference, including the AUP.
(b) Use of Provider Output. You are solely responsible for (i) evaluating (including by human review) Provider Output for accuracy, completeness, and other factors relevant to Your use before using, distributing, or relying on the Provider Output and (ii) Your decisions, actions, and omissions in reliance or based on the Provider Output.
4. Privacy Policy
Doxy.me complies with its privacy policy, available at https://doxy.me/en/privacy-policy/ ("Privacy Policy") and the Business Associate Agreement between You and Doxy.me, in providing the Services. The Privacy Policy is subject to change as described therein. By accessing, using, and providing information to or through the Services, You acknowledge that You have reviewed and accepted our Privacy Policy, and You consent to all actions taken by us with respect to Your information in compliance with the then-current version of our Privacy Policy.
5. Intellectual Property Ownership; Feedback
(a) Doxy.me IP. You acknowledges that, as between You and Doxy.me, Doxy.me owns all right, title, and interest, including all intellectual property rights, in and to the Doxy.me. Doxy.me hereby grants You a non-exclusive, royalty-free, perpetual, worldwide license to reproduce, distribute, and otherwise use and display the Doxy.me IP solely to the extent incorporated into and necessary for You to use and otherwise exploit the Provider Output solely for Your internal business operations by users in accordance with this Addendum.
(b) Provider Data. Doxy.me acknowledges that, as between Doxy.me and You, You owns all right, title, and interest, including all intellectual property rights, in and to the Provider Data, subject to the license granted herein. You hereby grants to Doxy.me a non-exclusive, royalty-free, worldwide license to (i) reproduce, distribute, and otherwise use and display the Provider Data and Process the Provider Data as may be necessary for Doxy.me to provide the Services to You and (ii) use, modify, and adapt only aggregated and anonymized Provider Input and Provider Output to train, develop, adapt, modify, enhance, or improve the Services/Enhanced Application and other Doxy.me products or services. Doxy.me will not use Provider Data to train, develop, or improve the Services or any other product or service. Notwithstanding anything in this Addendum to the contrary, unless prohibited by applicable law, we may delete Provider Data at any time if we determine that Provider Data violates the terms of this Addendum or that deletion is necessary to comply with applicable law.
6. Limited Warranty and Warranty Disclaimer
(a) Limited Doxy.me Warranty. Doxy.me warrants that the Services will conform in all material respects to the applicable documentation when accessed and used by You in accordance with this Addendum. Your sole remedy and Doxy.me's sole liability for breach of the foregoing warranty is for Doxy.me to use reasonable efforts to correct the Services to conform to the applicable documentation. Doxy.me does not make any representations or guarantees regarding uptime or availability of the Services. THE FOREGOING WARRANTY DOES NOT APPLY, AND DOXY.ME STRICTLY DISCLAIMS ALL WARRANTIES, WITH RESPECT TO ANY THIRD-PARTY PRODUCTS.
(b) Provider Warranty. You represent, warrant, and covenant that You own or otherwise have and will have all necessary rights, permissions, and consents in and relating to the Provider Data (other than Provider Output) so that, as received by Doxy.me and Processed in accordance with this Addendum, it does not and will not infringe, misappropriate, or otherwise violate any intellectual property rights, or any privacy or other rights of any third party or violate any applicable law.
(c) EXCEPT FOR THE LIMITED WARRANTY SET OUT IN Section 6(a), THE SERVICES AND PROVIDER OUTPUT ARE PROVIDED "AS IS" AND DOXY.ME SPECIFICALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DOXY.ME SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. DOXY.ME MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, INCLUDING ANY PROVIDER OUTPUTS, WILL MEET YOUR OR ANY OTHER PERSON'S OR ENTITY'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OF YOUR OR ANY THIRD PARTY'S SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. YOU ACKNOWLEDGE THAT, GIVEN THE NATURE OF THE SERVICES AND AI TECHNOLOGY, PROVIDER OUTPUT (I) MAY BE INACCURATE, MISLEADING, BIASED, OR OFFENSIVE, (II) MAY BE THE SAME AS OR SIMILAR TO OUTPUT THE SERVICES GENERATE FOR OTHER CUSTOMERS, (III) MAY NOT QUALIFY FOR INTELLECTUAL PROPERTY PROTECTION, AND (IV) MAY BE SUBJECT TO THIRD PARTY TERMS, INCLUDING, AS APPLICABLE, OPEN SOURCE LICENSES, AND (V) DO NOT NECESSARILY REFLECT, AND MAY BE INCONSISTENT WITH, DOXY.ME'S AND THIRD-PARTY PROVIDER’S VIEWS.
2. Limitations of Liability. This Addendum shall be subject to Section 14 (Limitations of Liability) in the Terms of Service.
